Terms and Conditions of Service

These Terms and Conditions (`"Terms`") apply to all services provided by Build IT & Media Consultancy Limited ("the Company"), a UK Limited Company offering development, consultancy, and related services for websites, web applications, mobile applications, and other software projects. By engaging with our services or paying our invoices, you agree to be bound by these Terms.


1. Scope of Services

  1. The Company provides development, consultancy, and technical services for websites, web applications, mobile applications, and other related services as agreed in individual project scopes.
  2. Specific details of each project, including deliverables and timelines, will be outlined in a separate proposal, statement of work, or project plan where applicable.

2. Client Obligations

  1. The Client agrees to provide the Company with timely access to relevant assets, systems, information, and resources necessary for the performance of the agreed services.
  2. By paying an invoice, the Client grants the Company the necessary access, including but not limited to, platforms, servers, APIs, and third-party services such as AWS, Google Cloud, or similar, required to carry out the work.
  3. The Client is responsible for ensuring all required licenses, permissions, and access rights are in place before the start of the project.

3. Fees and Payment

  1. Fees for services will be set out in a proposal, statement of work, or invoice.
  2. Invoices are payable within the time frame specified on the invoice (typically 30 days unless otherwise agreed).
  3. The Company reserves the right to suspend or terminate services if payments are not made in accordance with the agreed terms.

4. Intellectual Property

  1. The Company retains ownership of all pre-existing intellectual property, tools, and methodologies used in the project.
  2. Ownership of final deliverables will be transferred to the Client upon full payment of all invoices related to the project.
  3. Any third-party assets (e.g., libraries, plugins, or licenses) used in development remain subject to the terms and licenses of their respective owners.

5. Confidentiality

  1. Both parties agree to treat any information designated as confidential as strictly confidential.
  2. The Company may use the Client’s name and project details in a portfolio or for marketing purposes unless otherwise agreed in writing.

6. Liability and Warranty

  1. The Company will provide services with reasonable care and skill, but it does not guarantee that all software, websites, or applications will be free from errors or bugs.
  2. The Company is not liable for any indirect, consequential, or financial loss arising from delays, errors, or downtime caused during or after the provision of services.

7. Termination

  1. Either party may terminate the engagement upon written notice if the other party materially breaches these Terms.
  2. Upon termination, the Client must pay for all work completed up to the date of termination.

8. Governing Law and Jurisdiction

  1. These Terms are governed by the laws of England and Wales.
  2. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
